1. Acceptance of Terms
1.1 These Terms of Use ('Terms') govern access to and use of the photon.uz website ('Website'), owned and operated by PHOTON MC LLC ('Company', 'Photon', 'we'), a legal entity registered under the laws of the Republic of Uzbekistan, registration number TIN 308428171.
1.2 By using the Website, you ('Visitor', 'you') confirm that you have read, understood and accept these Terms in full. If you do not agree with any provisions, please discontinue use of the Website.
1.3 The photon.uz Website is an informational resource providing information about Photon's operational activities as an operating partner of venture funds. The Website is NOT a platform for financial transactions, payments, securities trading or the provision of licensed financial services.
2. Definitions
'Website' - the photon.uz website and all its subdomains, pages, features and content.
'Company', 'Photon', 'we' - the legal entity identified in Section 1.1, which acts as the operating partner of venture funds.
'Visitor', 'you' - any natural or legal person using the Website.
'Content' - text, graphics, images, video, audio, software and other materials published on the Website.
'Funds' - venture funds under Photon's operational management (SQB Ventures, Hayot Ventures and others).
'Fund Governance Bodies' - the Investment Committee and/or Supervisory Board of each fund, which make final investment decisions.
3. Website Description and Services
3.1 Informational purpose. The Website provides information about Photon, its methodology (Innovation Framework), active funds under operational management, the operational team and cooperation opportunities.
3.2 Website features:
- Information about funds and investment approaches
- Contact form for communication with Photon
- Application submission by startups, investors, partners and universities
- Multilingual support (Russian, English, Uzbek)
3.3 Operational model. Photon runs operational management of venture funds but is not a management company in the sense of trust management of assets. Final investment decisions are made by each fund's Investment Committee and/or Supervisory Board. Photon staff are not members of these bodies.
3.4 'As is' basis. The Website and its content are provided 'as is' and 'as available'. We may modify, suspend or discontinue any feature of the Website at any time without prior notice.
4. Investment Disclaimers
4.1 Not a recommendation. The information on the Website is for informational purposes only and does NOT constitute:
- investment advice or financial consulting;
- an offer or solicitation to buy or sell securities, fund interests or other financial instruments;
- a guarantee of return on investment or any specific financial results.
4.2 Venture risks. Investments in venture funds carry a high level of risk, including the possibility of total loss of invested capital. Past investment results are not a guarantee of future returns.
4.3 Independent advice. Before making any investment decisions, you are recommended to obtain independent legal, tax and financial advice from qualified professionals.
4.4 Qualified investors. Participation in funds under Photon's operational management is available only to qualified investors who meet the requirements of the specific fund and applicable legislation.
5. Acceptable Use
5.1 You may use the Website only for lawful purposes and in accordance with these Terms.
5.2 You must NOT:
- Use the Website for any illegal purpose or in violation of the applicable laws of the Republic of Uzbekistan
- Interfere with or disrupt the integrity or performance of the Website, including DDoS attacks, injection of malicious code or unauthorised access attempts
- Use automated tools (bots, scrapers, parsers) to collect information from the Website without prior written consent
- Impersonate any person or falsely represent your affiliation with Photon, its funds or partners
- Submit false, misleading or fraudulent information through contact forms
- Infringe the intellectual property rights of Photon or third parties
- Use the Website to send spam, unsolicited commercial communications or phishing attacks
5.3 The Company reserves the right to investigate violations and take legal action, including reporting to competent authorities.
6. Intellectual Property
6.1 Company rights. The Website, all its Content (including text, design, graphics, logos, trademarks, software and materials) are the intellectual property of the Company or are used by it under licence. All rights reserved.
6.2 Limited licence. The Company grants you a limited, non-exclusive, non-transferable, revocable licence to use the Website solely for informational and personal non-commercial purposes.
6.3 Prohibited use. Reproduction, copying, distribution, publication, modification, creation of derivative works or commercial use of the Website's Content without prior written consent from the Company is prohibited.
6.4 User content. By submitting content through contact forms (startup descriptions, links to materials, etc.), you grant the Company a non-exclusive, royalty-free licence to use such content for reviewing your enquiry, operational processes and reporting to fund governance bodies.
6.5 Feedback and suggestions. Any feedback, suggestions or ideas submitted to the Company may be used freely without any obligation to compensate or credit you.
7. Privacy and Personal Data
7.1 Processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.
7.2 We process personal data in accordance with the Law of the Republic of Uzbekistan No. ZRU-660 'On Personal Data' (02.07.2019) and, where applicable, the GDPR (EU 2016/679).

8.1 The Website may contain links to third-party websites and services. The Company does not control and is not responsible for the content, privacy practices or availability of such sites.

10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, REPUTATIONAL HARM OR BUSINESS INTERRUPTION.
10.2 These limitations apply regardless of the theory of liability (contract, tort, strict liability), even if the Company was advised of the possibility of such damages.
10.3 You assume full responsibility for any investment or business decisions made based on information from the Website.
11. Indemnification
You agree to defend, indemnify and hold harmless the Company, its affiliates, officers, employees and agents from any claims, damages, losses and costs (including reasonable legal fees) arising from:

12. Governing Law and Dispute Resolution
12.1 Governing law. These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan, including the Civil Code of the Republic of Uzbekistan.
12.2 Informal resolution. Before going to court, the parties shall attempt in good faith to resolve disputes through negotiations within 30 calendar days from the receipt of a written claim.
12.3 Jurisdiction. All disputes arising in connection with the Website or these Terms shall be resolved by the competent courts of the Republic of Uzbekistan at the Company's place of registration.
12.4 Consumer rights. Nothing in these Terms affects statutory consumer rights granted by applicable consumer protection legislation.

13.2 Material changes will be highlighted on the Website for 14 days after publication.

14.6 Language. The Terms are made in Russian, English and Uzbek. In the event of a conflict, the Russian version shall prevail.
